At a second closing under the NPA, which occurred on August 27, 2024, the Company issued convertible promissory notes to five additional accredited Investors in the aggregate principal amount of $1.345 million for aggregate proceeds of $3.145 million.

    The total number of shares outstanding was 12,178,424 as of June 30, 2024.
