(NASDAQ:NTRP) (“NextTrip”, “we,” “our,” or the “Company”), a travel technology company, has received a notice (the “Notice”) from the listing qualifications department of the Nasdaq Stock Market LLC (“Nasdaq”) indicating that, as a result of the delinquency in the timely filing of the Company’s annual report on Form 10-K for the fiscal year ended February 29, 2024 (the “10-K”), the Company is out of compliance with Nasdaq Listing Rule 5250(c)(1) (the “Listing Rule”), which requires listed companies to timely file all required periodic reports with the Securities and Exchange Commission (the “SEC”).

    In accordance with Nasdaq’s listing rules, the Company has 60 calendar days after the date of the Notice to submit a plan to regain compliance with respect to the delinquent 10-K filing. If the plan is accepted by Nasdaq, the Company will have an exception of up to 180 calendar days from the due date of the 10-K, or until December 10, 2024, to regain compliance.
